Terms of Service
The deal, in the order you'll care about it: what you get, what it costs, what happens to your recipes, and what we don't promise.

1. This agreement
These terms are between you — the business opening the account — and Curalux, LLC, a Delaware limited liability company ("Maitaki", "we"). Using the service means accepting them. If you are agreeing on behalf of a company, you confirm you can bind it.
2. What the service is
Maitaki reads the invoices, recipes and order guides you send it, keeps your ingredient and plate costs current as prices move, and answers questions about your own numbers. It is available on the web, iOS and Android.
We add and change features. We will not remove something you rely on without telling account owners first.
3. Your account and your team
Billing is per location rather than per person, within the team limit set out in section 5. You are responsible for what your team does in the account, for keeping access current when people leave, and for having the right to send us the documents you send.
4. The free trial
60 days, free, no card required to begin. Nothing charges automatically at the end of a trial you did not put a card against — if you do nothing, the account simply stops. We would rather lose the charge than bill someone who forgot.
5. What it costs
- $150 per month, per location on Base, at the founding rate.
- Base includes, per location per month: 100 documents in the first month and 50 a month thereafter, 4 team members, 4 digests.
- There is no overage charge. Nothing on Base upgrades itself and no meter runs in the background. If you need more than that, ask us and we will agree it with you before anything changes.
- Plans above Base are priced against your own volumes and set out in writing before anything is charged.
- Several photographs of the same document count once.
- Prices exclude sales tax and VAT, which we add where we are required to.
The founding rate
If you start at $150 while the founding rate is open, that stays your Base price for as long as your account remains active, even after new customers begin paying $200. Keeping the rate means keeping the account. If you cancel and come back later, you rejoin at whatever the price is then. That is the only catch, and we would rather state it here than bury it.
6. Billing and cancelling
Subscriptions run monthly and renew automatically until you cancel. You can cancel at any time from the app or by emailing us; it takes effect at the end of the period you have paid for, and you keep access until then. There is no setup fee, no minimum term and no contract.
We do not charge for partial months in arrears, and we do not refund unused time — except when we have got something wrong, in which case ask and we will sort it out.
7. Your content, and your recipes
Everything you send us stays yours. Your recipes, your costs and your vendor prices are your property and, in most kitchens, your competitive advantage. We claim no ownership of any of it.
You grant us only the licence needed to operate the service for you — to store, read, cost, display and back up your content. That licence ends when you delete the content or close the account. Your recipes are never used to train shared models and never shown to another restaurant.
You can export your recipes, ingredients, vendors and cost history at any time while the account is open, and for 60 days afterwards — see the Privacy Policy.
One planned exception, set out in full at regional price benchmarks: we intend to use invoice prices, aggregated and de-identified, to show every customer how their prices compare with a regional average. Recipes are excluded from this entirely, no restaurant is named, and we will tell you before it starts.
8. Fair use
Don't use Maitaki to break the law, and don't:
- upload documents you have no right to send us;
- resell or white-label the service without our agreement;
- attempt to extract another customer's data, or probe the service for weaknesses without asking us first — we would rather hear from you, at support@maitaki.ai;
- run automated bulk requests that degrade the service for other kitchens.
9. Accuracy, and what you should still check
Maitaki reads documents automatically. It is good, and it is not infallible: a smudged docket, an unusual pack size or a handwritten recipe can be misread, and a figure that is wrong at the invoice will be wrong at the plate.
The numbers Maitaki produces are information, not advice. Menu pricing, vendor switches, credit claims and anything you file with a tax authority remain your decisions and your responsibility. Check anything that matters before acting on it, and tell us when something looks wrong — that is how it gets better.
Any figures shown on our marketing pages are illustrative examples, not a forecast of what you will save.
10. Availability
We aim to keep Maitaki running continuously, but we do not currently offer a contractual uptime guarantee, and we would rather say that than publish a number we have not committed to. We schedule maintenance outside service hours where we can.
11. Disclaimers
The service is provided "as is". To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing here excludes liability that cannot lawfully be excluded.
12. Limitation of liability
Neither party is liable for indirect or consequential loss. Our total liability in any twelve-month period is limited to the fees you paid us in that period.
Said plainly: if we get something wrong, we will fix it and refund what you paid. We are not able to underwrite your food cost, your margins or a commercial decision you made using our figures.
13. Ending it
You can leave at any time. We may suspend or close an account that goes unpaid, or that breaches section 8, and we will tell you why and give you a chance to put it right unless the breach makes that unreasonable. On closure you keep your export window under the Privacy Policy.
14. Changes to these terms
We will email account owners before a material change takes effect. If you do not accept it, cancel before it does — we will not hold you to terms you did not agree to.
15. Governing law
Curalux, LLC is formed in Delaware. These terms are governed by Delaware law, without regard to its conflict-of-law rules, and disputes go to the state and federal courts located in Delaware. Before anyone involves a court, email us — nearly everything is a misunderstanding that a conversation fixes.
